1. Agreement to Terms

These Terms and Conditions ("Terms") govern your use of the website www.seoexpertorangecounty.com and all services provided by Pinnacli LLC, doing business as SEO Expert Orange County ("we," "us," or "our").

By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you should not use our website or services.

2. Services Description

We provide consulting and digital marketing services, including but not limited to:

• Search Engine Optimization (SEO)
• Local SEO
• Generative Engine Optimization (GEO)
• Google Ads and Pay-Per-Click (PPC) management
• Keyword research and strategy
• Link building
• Online reputation management

The specific scope, deliverables, and timeline for each engagement are defined in a separate service proposal or agreement provided before work begins.

3. Service Engagement

All service engagements operate on a month-to-month basis unless otherwise specified in a separate written agreement. We do not require long-term contracts.

Either party may cancel the engagement with thirty (30) days' written notice. Written notice may be provided via email to the contact addresses exchanged during the engagement.

Work in progress at the time of cancellation will be completed and delivered for the current billing period. No refunds are issued for partially completed months of service.

4. Pricing and Payment

Service pricing is provided in a written proposal or quote before work begins. All prices are in US dollars unless otherwise stated.

• Services are invoiced monthly at the beginning of each billing period
• Payment is due within fifteen (15) days of the invoice date
• For PPC management services, our management fee is separate from and does not include advertising spend. The client is responsible for all ad spend paid directly to the advertising platform (e.g., Google Ads)
• Late payments may incur a fee of 1.5% per month on the outstanding balance
• We reserve the right to pause work on accounts with overdue invoices

5. Client Responsibilities

To ensure effective service delivery, the client agrees to:

• Provide timely access to the website, hosting account, CMS, and any other platforms required for the agreed-upon services
• Provide necessary credentials for Google Analytics, Google Search Console, Google Business Profile, and Google Ads accounts as applicable
• Respond to requests for feedback, approvals, and information within a reasonable timeframe
• Provide accurate and up-to-date business information (name, address, phone number, hours, service descriptions)
• Notify us promptly of any changes to business information, website structure, or hosting environment that may affect our work

6. Intellectual Property

Upon full payment for the applicable services:

• All deliverables created specifically for the client (content, reports, landing pages, creative assets) become the property of the client
• The client may use these deliverables for any lawful business purpose

The following remain the exclusive property of Pinnacli LLC:

• Proprietary tools, software, scripts, and automation systems
• Processes, methodologies, frameworks, and strategies developed independently
• Templates and reusable components not created exclusively for the client

7. Account Ownership

The client retains full ownership of all third-party accounts, including but not limited to:

• Google Ads accounts and associated campaign data
• Google Analytics properties and data
• Google Search Console properties
• Google Business Profile listings
• Social media accounts
• Domain registrations and hosting accounts

We access these accounts as an authorized user or manager. Upon termination of services, we will transfer or remove our access as directed by the client.

8. Results and Guarantees

SEO and digital marketing involve variables outside of our control, including search engine algorithm updates, competitor activity, market conditions, and platform policy changes.

We do not guarantee specific search engine rankings, traffic volumes, conversion rates, or revenue outcomes. No ethical SEO provider can make such guarantees because search engines like Google control their own algorithms and ranking criteria.

What we do commit to is applying industry best practices, ethical (white-hat) methods, and transparent reporting. We will clearly communicate our strategy, progress, and any challenges throughout the engagement.

9. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement, including but not limited to:

• Business strategies, financials, and customer data
• Account credentials and access information
• Analytics data and performance reports
• Proprietary tools and methodologies

This obligation of confidentiality survives the termination of the service engagement and remains in effect indefinitely, unless the information becomes publicly available through no fault of the receiving party.

10. Limitation of Liability

To the maximum extent permitted by law, Pinnacli LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, loss of data, loss of business, or loss of anticipated savings, regardless of the cause of action or theory of liability.

Our total aggregate liability for any claim arising from or related to our services shall not exceed the total fees paid by the client to us during the three (3) months immediately preceding the event giving rise to the claim.

11. Termination

Either party may terminate the service engagement with thirty (30) days' written notice via email.

Upon termination:

• The client retains ownership of all deliverables produced and paid for
• The client retains full access to and ownership of all third-party accounts
• We will provide a final report summarizing the work completed and current status
• We will remove our access from all client accounts within seven (7) business days
• Any outstanding invoices remain due and payable

We reserve the right to terminate the engagement immediately, without the 30-day notice period, if the client engages in illegal activity, provides fraudulent information, or engages in abusive behavior toward our team.

12. Third-Party Services

Our services may involve or recommend the use of third-party platforms and services. The client is responsible for all costs associated with:

• Google Ads advertising spend
• Domain registrations and renewals
• Website hosting fees
• Premium software, plugins, or tools recommended for the project
• Stock imagery, fonts, or other licensed assets

We are not responsible for changes, outages, or policy updates made by third-party platforms. We will notify the client of any significant changes that may impact the services we provide.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

14. Dispute Resolution

In the event of any dispute arising from or relating to these Terms or the services provided, the parties agree to the following process:

1. Good Faith Negotiation - The parties shall first attempt to resolve the dispute through direct, good faith communication within thirty (30) days of written notice of the dispute.
2. Mediation - If the dispute cannot be resolved through negotiation, the parties agree to submit the matter to non-binding mediation in Orange County, California, with each party bearing its own costs and splitting the mediator's fees equally.
3. Litigation - If mediation is unsuccessful, either party may pursue resolution through the courts of the State of California, with venue in Orange County.

15. Changes to These Terms

We may update these Terms from time to time. When we make changes, we will update the "Last updated" date at the top of this page.

Changes to these Terms do not apply retroactively to services already in progress. For active engagements, the Terms in effect at the time of the most recent service proposal or renewal apply unless both parties agree in writing to the updated Terms.
